1. Acceptance of Terms

By accessing or using the ThemeX website or engaging our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions. If you do not agree with any part of these Terms, you should not use our website or services.
These Terms apply to all visitors, clients, and anyone who accesses or interacts with ThemeX.

2. Services

ThemeX provides professional digital solutions, including web design, website development, software development, UI/UX design, website maintenance, technical consulting, and other related services.
The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate proposal, quotation, or written agreement. Any services requested outside the approved scope may require additional time, cost, or a revised agreement.

3. Payments

Payment terms for each project will be specified in the applicable proposal, quotation, or invoice provided by ThemeX.
Unless otherwise agreed in writing, clients are required to make payments according to the agreed schedule. Failure to make payments on time may result in a temporary suspension of work until the outstanding balance is cleared.
ThemeX reserves the right to withhold the delivery of final project files, source code, or ownership transfer until full payment has been received.

4. Client Responsibilities

To ensure the successful delivery of every project, clients are responsible for providing all necessary content, materials, access credentials, approvals, and feedback in a timely manner.
Any delay in providing required information, approvals, or resources may affect the project timeline. ThemeX shall not be held responsible for delays resulting from incomplete information or late responses from the client.
The client is solely responsible for ensuring that all content, images, trademarks, and other materials provided to ThemeX are legally owned or properly licensed for use.

5. Project Changes

Any request that falls outside the originally approved project scope will be considered a change request.
ThemeX will review the requested changes and, where applicable, provide an updated timeline, cost estimate, or revised proposal before proceeding. No additional work will begin until both parties agree to the revised scope.

6. Intellectual Property

Unless otherwise agreed in writing, all concepts, designs, source code, documentation, and other work created by ThemeX remain the property of ThemeX until the project has been paid in full.
Upon receipt of full payment, ownership of the final approved deliverables will transfer to the client, except for third-party assets, open-source software, proprietary tools, frameworks, or components that remain subject to their respective licenses.
Unless restricted by a written confidentiality agreement, ThemeX reserves the right to display completed projects as part of its portfolio, marketing materials, or case studies.

7. Disclaimer & Limitation of Liability

ThemeX provides its services with reasonable skill, care, and professional standards. However, we do not guarantee that every website, application, or digital solution will be completely error-free, uninterrupted, or compatible with every third-party service, browser, device, or future software update.
To the fullest extent permitted by applicable law, ThemeX shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, business interruption, loss of data, or loss of profits arising from the use of our services.

8. Termination

Either ThemeX or the client may terminate a project or service by providing written notice.
Upon termination, the client shall remain responsible for paying for all work completed, approved milestones, and any outstanding invoices up to the date of termination.
ThemeX reserves the right to suspend or terminate its services immediately if the client materially breaches these Terms, engages in unlawful activities, or fails to meet agreed payment obligations.
Termination of a project does not affect any rights or obligations that have accrued before the termination date.

9. Changes to These Terms

ThemeX may update or revise these Terms & Conditions from time to time to reflect changes in our services, business practices, or applicable legal requirements.
Any updates will become effective once published on this page. By continuing to use our website or services after such changes are posted, you agree to the revised Terms.
